By proceeding I acknowledge that I have read and agree to the following terms and conditions:
OMNi sales policies for all merchandise sold require compliance by our authorized dealers/distributors. This policy is not a contract, nor an offer to form a contract.
• OMNi will sell merchandise only to authorized customers who, in the sole discretion and judgment of OMNi: (a) do not advertise, sell or promote in any way that disparages, misrepresents or injures OMNi or partner merchandise; and (b) do not distribute or sell merchandise employing any illegal, deceptive or loss leader pricing, or other selling practices deemed inappropriate, and (c) hold a current and valid federal tax ID (EIN) and a current and valid state resale tax certificate.
• Authorized dealer distributors may not advertise or promote the merchandise or cause the merchandise to be advertised or promoted at prices discounted more than 20% for Zorrel and Primease labeled apparel and its distributed brands, reserves the right to enforce this Minimum Advertised Price (MAP) policy.
• Sales of OMNi Apparatech brands Zorrel and Primease merchandise, on or through eBay, Amazon, Craigslist or any other direct-to-consumer electronic platforms are done so with approved dealer distributors and with OMNi’s written approval. Dealer distributors attempting to sell through these or other direct to consumer web sites without the express written authorization of OMNi are subject to account termination.
• It is the sole discretion of OMNi to determine if a dealer distributor has failed to comply with the policy stated herein, it will provide you with written notice of the same. OMNi may, at such time, stop selling Zorrel, Primease and/or partner merchandise to you or terminate the relationship.

OMNi reserves the right to modify or amend these policies unilaterally, at any time or from time to time.
GENERAL TERMS AND CONDITIONS
Orders:
• Dealer distributors wishing to place orders with OMNi must have an active qualifying account.
• OMNi accepts undecorated orders in the following formats - email, online order processing, phone, mail, fax or EDI.
• Cancellation of orders requires OMNi approval.
• Dealer distributors understand that orders are subject to stock availability and all reasonable efforts will be made to deliver merchandise to meet delivery dates. Failure to meet delivery dates is not the responsibility of OMNi.
• OMNi will ship orders complete unless otherwise directed to ship partial when back orders occur.
Pricing:
• Prices are subject to change without notice; and OMNi assumes no liability should customers not possess the current pricing in effect.
Shipping:
• Orders in excess of $199 are eligible for OMNi’s Free Ground Freight Program to one destination.
• OMNi reserves the right to select carriers, including all package services, air carriers and motor freight common carriers. It will be our intention to select the most economical method of transit.
• Orders not exceeding $199 will be billed F.O.B. OMNi distribution center.
• Shipments prepaid are added to your invoice unless otherwise specified or the order qualifies for free freight.
• Orders may be picked up at the OMNi distribution and fulfillment center.
• All expedited shipments - Next Day Air, 2-Day Air, etc. - do not qualify for free freight.
Payment:
• Prices to be paid are the prices in effect at the time of ordering, less any discounts if provided.
• Terms of payment are as invoiced.
• OMNi Apparatech utilizes several credit bureaus, credit history and other determining factors to establish credit terms for customers. OMNi reserves the right to determine credit limits of its dealer distributors.
• Alternate payment options are available to include Prepayment, ACH, Wire Transfer, and all major credit cards.
• Customers are expected to hold a valid state resale tax ID, and are liable for all local, city, county and state sales taxes associated with the final sale of merchandise. OMNi assumes no liability in regard to these taxes.
• Any merchandise purchased from OMNi and shipped outside the United States is done so at the risk of the dealer distributor, any international custom duties, taxes, GST, VAT or other fees associated with the merchandise exportation are the sole responsibility of the dealer distributor.
Returns:
• All merchandise needs to be shipped back to OMNi Apparatech, 13500 15th St, Grandview, MO 64030, Attn: RA#.
• Distributor is responsible for all shipping charges including but not limited to freight, brokerage fees, duties & taxes.
• All returns require an RA# provided by OMNi and are subject to a 20% restocking fee.
• All claims must be made within 15 days following shipment. Decorated merchandise may not be returned.
Merchandise Guarantees:
• All merchandise is guaranteed against defects in material and workmanship for a period of one year. Superior dyes are used to match colors as closely as possible; however, some variation due to dye lot variances may occur.
• It is important for all care instructions to be followed carefully.
• All merchandise to be decorated by a contract decorator must be inspected for defects or errors in style, color, or size prior to decorating the merchandise.
• OMNi is not liable for the improper decoration processes or techniques utilized by contract decorators. It is important for dealer distributors to verify with their contract decorators that they are experienced, qualified and prepared to properly decorate apparel, in particular, performance polyester fabrics. Contractors should follow instructions of the manufacturer or distributor of decoration supplies – threads, inks, thermals, etc.
• OMNi assumes no liability for subsequent decoration charges.
Decorated Orders:
• All decorated orders must be in writing.
• All new designs must be approved in writing prior to production beginning.
• Cancellations and order changes must be in writing prior to the start of production. Orders already in production cannot be changed, altered, or edited.
• Decorated merchandise orders are accepted and processed with ship dates based upon production time schedules at the time the order is accepted.
Exportation of OMNi Merchandise:
• OMNi Apparatech brand merchandise purchased and shipped from our facility is eligible for exportation with the full liability of the dealer distributor.
• It is recommended that the dealer distributor consult a freight forwarder and/or broker to confirm eligibility and to verify that merchandise exported will be released by the customs agency of the destination country.
